Statutes and board

Definition

The statutes are the foundational document defining the association's identity and the principles for its management and organisation.

As explained in more detail there, the statutes must be adopted by a majority of registered members and must comply with the legal requirements of the Associations Act 2002 — VerG.

Contents

The statutes set out the identity of node-K Hackspace Klagenfurt. Alongside the name, registered office (Lastenstraße 26, 9020 Klagenfurt) and area of activity (primarily Carinthia, with national and international exchange as a secondary focus), they contain rules for the association's leadership, membership management, raising and managing funds, and its legal definition and classification. They may also include information relevant to the association's identity or operations in appendices. One current example is the association's code of conduct, which also serves as the house rules for its premises.

Identity of the association

The association is called node-K (Knotenpunkt Klagenfurt), in full:

“Verein zur Erforschung und Realisierung von Technologie und Kreativität: node-K” (“Association for the exploration and realisation of technology and creativity: node-K”). Its registered office is at Lastenstraße 26, 9020 Klagenfurt. Its activities focus primarily on Carinthia, centred on Klagenfurt; it also engages in national and international exchange with like-minded people.

Purpose and how it is pursued

The association is non-profit and aims to support its members and the public in art, science and technology. Its central means of doing so is operating workshops and project centres as meeting places for knowledge transfer, creative work and enthusiasm for technology and creativity, as well as exchange with other hackspaces and the interested public.

Members of the association

The statutes distinguish three types of membership:

  • Ordinary members: Actively participate in the association's work
  • Supporting members: Support the association primarily through a higher membership fee
  • Honorary members: Appointed in recognition of special contributions to the association

They also regulate how membership is acquired and terminated, and members' rights and duties.

Bodies of the association

The statutes define these bodies:

  • General assembly: The association's highest decision-making body
  • Board: The governing body, consisting of the chair, secretary and treasurer and their respective deputies
  • Auditors: Two people elected by the general assembly to independently review financial management
  • Arbitration panel: An internal body for resolving disputes arising from membership of the association
